(Archived) Linde AG: Executive Board plans to propose to general meeting to resolve on dividend in the amount of Linde share
Munich, 19 Feb 2018 – The Executive Board of Linde AG (“Linde”) decided to propose a dividend payment in the amount of 7.00 Euro per Linde share in the resolution on the appropriation of profits which will be submitted to the Supervisory Board of Linde with respect to the 2018 general meeting.
Such dividend economically comprises a profit distribution for the financial year 2017 (3.90 Euro per share) and an amount equal to the dividend for three-fourth of the currently anticipated dividend for the financial year 2018 (3.10 Euro per share).
The proposed dividend reflects the provisions of the business combination agreement dated 1 June 2017 which was executed by and between Linde and Praxair, Inc. (“Praxair”) to govern the business combination of both companies. The relevant provisions of the business combination agreement take into account that Linde generally pays its annual dividend to the Linde shareholders with respect to the previous financial year, whereas Praxair provides quarterly dividend payments to its shareholders with regard to the respective current financial year. In order to balance the different timing of the dividend payments of both companies with respect to the financial year 2018, the business combination agreement provides that Linde may, in 2018, pay a dividend which economically covers the financial year 2017 and, on a pro rata basis, every quarter for which Praxair is expected to pay a dividend to its shareholders in 2018 before the completion of the business combination. For purposes of the determination of the dividend payments in 2018, Linde and Praxair currently expect that Praxair will pay a dividend to its shareholders for three quarters of the financial year 2018. The completion of the business combination is still subject to the receipt of all required regulatory approvals in due time.
The proposal of a dividend payment in the overall amount of 7.00 Euro per share is still subject to the approval by the Supervisory Board of Linde. The final resolution on the dividend payment remains subject to the vote of the general meeting.
